Cel – Celem badania było wyspecyfikowanie wad i zalet obu umów z uwagi na różne kryteria formalno–prawne oraz podatkowe, które skłaniają podmioty działające na rynku nieruchomości do wyboru jednej z omawianych form dysponowania nieruchomością na potrzeby prowadzonej działalności gospodarczej.
Metodologia badania –Analiza porównawcza – w artykule przeanalizowane zostały dwie instytucje prawne wykorzystywane na rynku nieruchomości komercyjnych: najem oraz leasing operacyjny. Porównania dokonano między innymi z uwagi na cel, czas, formę i tryb zawarcia umowy, a także z uwagi na funkcje społeczno–gospodarcze tych instytucji prawnych. W tym celu zaprezentowano i zbadano również aktywność podmiotów oferujących w Polsce nieruchomości w leasing.
Wynik – Badanie wykazało, iż leasing operacyjny jest w aktualnym stanie prawnym znacznie bezpieczniejszą oraz atrakcyjniejszą finansowo ofertą dla podmiotów, które zamierzają korzystać z nieruchomości komercyjnych należących do podmiotów trzecich. Dotyczy to zarówno otoczenia prawnego jak i podatkowego leasingu w Polsce.
Oryginalność/Wartość – Badania dotychczas prowadzone dotyczyły przede wszystkim leasingu środków trwałych innych niż nieruchomości. Kompleksowa analiza leasingu operacyjnego w kontekście najmu jena gruncie polskich uwarunkowań prawno-podatkowych została przeprowadzona po raz pierwszy. Uzyskane wyniki maja dodatkowo bardzo praktyczny wymiar dla podmiotów gospodarczych.
Purpose – The aim of the study is to specify the advantages and disadvantages of both contracts because of their different formal, legal and tax criteria, which encourage real estate market operators to choose one of these forms to control property for their business purpose needs.
Design/Methodology/approach – Comparative analysis – The article describes two legal contract instances used in commercial real estate: lease and operating lease. The time, form, mode to procure an agreement and also socio-economic functions of legal institutions are taking into consideration. For this purpose, it presents and analyses the activity of providers in Poland, real estate leasing.
Findings – The study has shown that the operating lease is in the current state of the law significantly safer and financially more attractive offer for those entities who intend to make use of the commercial real estate belonging to third parties. This applies both to the legal and tax environment of leasing in Poland.
Originality/Value – The studies carried out so far concerned mainly the lease of fixed assets other than real estate. A comprehensive analysis of the operating lease in the context of the lease under the Polish legal and tax conditions has been carried out for the first time. The results obtained have also a very practical dimension for the economic operators.
